Haku Spanish Fluency Experience

These Terms of Service govern participation in the Haku Spanish Fluency Experience™, a private Spanish coaching program offered by Haku Languages LLC d/b/a Haku Spanish (“Haku Spanish,” “we,” “our,” or “us”).

By enrolling in the program, participants confirm that they have read, understood, and agree to these Terms of Service.

 

1. Program Overview

The Haku Spanish Fluency Experience™ is a structured six-month private coaching experience designed to help motivated adults develop real-world Spanish communication ability through the Spanish Fluency Integration™ system, based on the Haku Method™: Understand to Speak™.

Participants may enroll in one of the following program tracks:

  • Standard Track: up to two (2) private coaching sessions per calendar week
  • Intensive Track: up to three (3) private coaching sessions per calendar week

Participants may schedule coaching sessions according to their selected program track and the scheduling policies outlined in these Terms of Service.

Additional or replacement sessions may be assigned or approved by Haku Languages LLC when appropriate. Such sessions do not alter the participant’s regular weekly session allowance unless expressly confirmed in writing.

Coaching sessions may be provided by one or more qualified Haku Spanish coaches assigned by Haku Languages LLC. Haku Languages LLC retains responsibility for the administration and delivery of the program and may assign or reassign coaches when reasonably necessary to support scheduling, continuity, or the participant’s coaching needs.

Enrollment does not guarantee coaching services from any particular coach.

Each session lasts approximately 60 minutes and is conducted live by a qualified Haku Spanish coach through the Haku Spanish online meeting platform. Sessions may be recorded for educational and review purposes as described in Section 17.

2. Program Duration

The program duration is six (6) months beginning on the date of the participant’s first scheduled coaching session.

Program access is provided upon enrollment; however, the six-month program timeline is calculated from the date of the first scheduled coaching session, regardless of the date of purchase.

Program access will expire at the end of the six-month period unless extended through:

  • An approved Program Pause under Section 14
  • A limited completion period under Section 10
  • Another written adjustment approved by Haku Languages LLC

Participants are expected to attend sessions consistently throughout the program.

Participants are expected to schedule their first coaching session within fourteen (14) days of enrollment. If the participant does not schedule the first coaching session within this period, Haku Languages LLC may establish the program start date as the fourteenth day after enrollment, which may shorten the participant’s effective coaching period.

3. Program Investment and Payment Options

The total program investment is the same whether the participant selects the Pay-in-Full option or the Payment Plan.

The Nonrefundable Enrollment Portion is included within the total program investment and is not an additional amount added to the program price. It is due at enrollment and is nonrefundable as provided in Section 5.

3.1 Standard Track

The total investment for the Standard Track is $6,000.

Participants may select one of the following payment options:

Pay in Full

  • One payment of $6,000 due at enrollment
  • The total includes a $498 Nonrefundable Enrollment Portion

Payment Plan

  • $498 Nonrefundable Enrollment Portion
  • Six (6) installment payments of $917
  • The $498 Nonrefundable Enrollment Portion and the first $917 installment are charged at enrollment
  • Total charged at enrollment: $1,415
  • The remaining five installments of $917 are charged monthly
  • Total program investment: $6,000

3.2 Intensive Track

The total investment for the Intensive Track is $10,000.

Participants may select one of the following payment options:

Pay in Full

  • One payment of $10,000 due at enrollment
  • The total includes an $835 Nonrefundable Enrollment Portion

Payment Plan

  • $835 Nonrefundable Enrollment Portion
  • Six (6) installment payments of $1,527.50
  • The $835 Nonrefundable Enrollment Portion and the first $1,527.50 installment are charged at enrollment
  • Total charged at enrollment: $2,362.50
  • The remaining five installments of $1,527.50 are charged monthly
  • Total program investment: $10,000

Enrollment represents a commitment to the full program investment, regardless of the payment method selected.

Payment plans are offered as a convenience and do not represent a pay-per-session, monthly membership, or cancel-anytime arrangement.

Failure to complete scheduled payments may result in suspension of program access and coaching sessions.

The participant’s selected track, payment option, exact payment amounts, and payment schedule will be displayed at checkout before the participant completes enrollment.

4. Payment Disputes and Chargebacks

Participants agree to contact Haku Languages LLC first to attempt to resolve any billing concerns before initiating a chargeback or payment dispute.

If a participant initiates a dispute without prior contact, Haku Languages LLC reserves the right to:

  • Suspend or terminate access to the program
  • Provide relevant enrollment and transaction documentation to the financial institution
  • Pursue recovery of any unpaid balances

5. Refund Policy

Because the Haku Spanish Fluency Experience™ requires reserved coaching time, individualized preparation, onboarding, and account setup, a portion of the total program investment is designated as the Nonrefundable Enrollment Portion:

  • Standard Track: $498
  • Intensive Track: $835

The Nonrefundable Enrollment Portion is included within the total program investment. It is not an additional fee or separate charge and is nonrefundable, except where otherwise required by applicable law.

For participants who select Pay in Full, the applicable Nonrefundable Enrollment Portion is included within the participant’s single payment. If an eligible refund is requested, Haku Languages LLC will retain the applicable Nonrefundable Enrollment Portion and refund the remainder of the single payment.

For participants who select a Payment Plan, the applicable Nonrefundable Enrollment Portion is charged at enrollment together with the first installment. If an eligible refund is requested, Haku Languages LLC will retain the applicable Nonrefundable Enrollment Portion, refund any other refundable amounts paid, and cancel the remaining scheduled installments.

Participants may request a refund within 24 hours after completing their first coaching session. The 24-hour period begins when the first coaching session ends.

Refund requests must be submitted in writing to [email protected] within that timeframe and must include the participant’s full name and the email address used to enroll.

For an eligible refund request submitted within the 24-hour period:

  • The participant will receive a refund of all amounts paid, excluding the applicable Nonrefundable Enrollment Portion.
  • Any remaining scheduled installment payments will be canceled.
  • The participant’s access to coaching, program materials, platforms, recordings, and related resources will end.

After the 24-hour refund period expires, no participant-requested refunds will be issued.

Participants enrolled through a Payment Plan remain responsible for completing all remaining scheduled payments after the refund period expires, even if they discontinue participation or do not use all included coaching sessions or program resources, unless Haku Languages LLC grants a written discretionary release under Section 6.

This Refund Policy does not limit a remedy expressly provided under Section 10 when Haku Languages LLC is unable to provide a session canceled by Haku Languages LLC or an assigned coach.

Approved refunds will be returned to the original payment method. The time required for the refund to appear may depend on the participant’s bank, card issuer, or payment processor.

Track-specific refund illustrations and complete purchase terms will be displayed at checkout before enrollment. Those illustrations explain how this Refund Policy applies to the selected program track and payment option but do not modify this Refund Policy.

6. Discretionary Release of Remaining Payments

After the refund period expires, participants enrolled in a payment plan remain responsible for all remaining scheduled payments, even if they discontinue participation or do not use all included coaching sessions or program resources.

However, Haku Languages LLC may, in its sole discretion, release a participant from some or all remaining scheduled payments based on the participant’s individual circumstances.

Any such release must be approved in writing by Haku Languages LLC.

Unless the participant receives written confirmation of a release, all remaining payments continue to be due according to the original payment schedule.

A discretionary release applies only to the specific participant and circumstances for which it was granted. It does not entitle other participants to the same accommodation and does not modify the Refund Policy.

Amounts already paid will not be refunded except as expressly provided under Section 5 or Section 10.

7. Session Scheduling

Sessions are scheduled through the Haku Spanish scheduling system. Participants are responsible for scheduling and managing their sessions.

Automated notifications may be sent; however, participants remain responsible for ensuring compliance with all scheduling policies outlined in these Terms of Service.

Participants may schedule sessions in advance, subject to availability and any applicable booking-window requirements.

The participant may select different available days or times from week to week. A recurring day or time is not guaranteed unless separately confirmed by Haku Languages LLC.

8. Session Frequency and Program Pace

Participants are responsible for scheduling sessions consistently according to their selected track:

  • Standard Track: up to two (2) regular sessions per calendar week
  • Intensive Track: up to three (3) regular sessions per calendar week

Sessions are intended to be distributed consistently throughout the program duration.

A Haku Replacement Session Credit issued under Section 10 may allow the participant to complete one additional replacement session during a later week without reducing the participant’s regular weekly session allowance.

9. Program Structure and Weekly Scheduling

Coaching sessions are organized on a weekly basis from Monday through Sunday. Participants are expected to schedule and complete their regular sessions within each applicable calendar week.

Regular sessions not completed within the applicable calendar week are forfeited and do not carry over to a later week.

A participant-requested rescheduling may occur only to another available time within the same Monday-through-Sunday calendar week and in accordance with Section 11.

A participant’s request to move a regular session to a later calendar week does not preserve the session. The session will be forfeited, and the participant’s regular session allowance for the following week will not increase.

Participants are responsible for scheduling sessions in advance. Scheduling and rescheduling are subject to availability, and availability is not guaranteed if sessions are not booked ahead of time.

The scheduling platform may display appointment times without automatically enforcing every contractual weekly session limit. The appearance of an available appointment does not create an entitlement to an additional regular session.

Haku Languages LLC may cancel or adjust a booking made in excess of the participant’s authorized weekly session allowance unless the booking is associated with an active Haku Replacement Session Credit or has otherwise been approved in writing.

Participant-requested cancellations, rescheduling, missed sessions, and unused regular sessions do not extend the six-month program duration or change the established program end date, except through an approved Program Pause under Section 14.

10. Haku-Initiated Cancellations and Replacement Session Credits

When a scheduled session is canceled by Haku Languages LLC or an assigned Haku Spanish coach, the participant will receive one Haku Replacement Session Credit for the affected session.

Each Haku Replacement Session Credit will be documented in writing and assigned a unique reference number, such as HRS-001. The credit may be documented through the participant’s coaching account, email, session record, or another written communication provided by Haku Languages LLC.

A Haku Replacement Session Credit:

  • Replaces one specific session canceled by Haku Languages LLC or an assigned coach
  • Does not reduce the participant’s regular weekly session allowance
  • Does not count against the participant’s rescheduling limit
  • Is nontransferable
  • Has no cash value, except when a prorated refund is expressly provided under this Section
  • Does not create an entitlement to any additional session beyond the session it replaces

The participant may use an active Haku Replacement Session Credit during a later calendar week within the participant’s program period, subject to availability.

Unless Haku Languages LLC approves otherwise in writing, a participant may ordinarily use no more than one Haku Replacement Session Credit during a calendar week in addition to the participant’s regular weekly session allowance.

Accordingly:

  • A Standard Track participant may ordinarily complete up to three (3) sessions during a week in which one replacement credit is used.
  • An Intensive Track participant may ordinarily complete up to four (4) sessions during a week in which one replacement credit is used.

The participant is not required to complete more than the regular weekly session allowance unless the participant agrees to schedule the additional replacement session.

A replacement session may be scheduled only after the Haku Replacement Session Credit has been issued or confirmed in writing by Haku Languages LLC.

The participant is responsible for booking or coordinating the replacement session within a reasonable time after receiving the credit.

A replacement credit does not automatically extend the program when the participant chooses not to schedule it, does not respond to scheduling communications, or declines reasonable scheduling opportunities offered during the original program period.

If one or more Haku Replacement Session Credits cannot reasonably be used before the established program end date because of Haku Spanish’s availability or because the applicable Haku cancellation occurred near the end of the program, Haku Languages LLC will provide a completion period of up to fourteen (14) additional calendar days solely for the purpose of completing the outstanding replacement sessions.

The fourteen-day completion period is a limited scheduling window. It does not represent fourteen replacement sessions or authorize fourteen Haku-initiated cancellations.

No additional regular weekly sessions accrue during the completion period.

During the completion period, more than one Haku Replacement Session Credit may be used during a calendar week when mutually agreed upon and reasonably necessary to complete the outstanding replacement sessions. The participant will not be required to accept an unreasonable number of sessions within a short period.

If outstanding replacement sessions cannot reasonably be completed during the fourteen-day completion period because Haku Languages LLC is unable to provide them, Haku Languages LLC will provide another reasonable solution, which may include:

  • Assigning another qualified coach
  • Offering additional mutually available scheduling options
  • Extending only the completion period as reasonably necessary
  • Providing an appropriate service credit
  • Providing a prorated refund for a replacement session Haku Languages LLC is unable to deliver

Any prorated refund under this Section is limited to a session Haku Languages LLC is unable to provide and is not a participant-requested refund under Section 5.

If Haku Languages LLC or an assigned coach cancels two (2) or more participant sessions within any rolling thirty-day period, Haku Languages LLC will review the participant’s coaching arrangement and may assign another coach or implement another reasonable continuity plan.

This review does not limit the participant’s right to receive one Haku Replacement Session Credit for each session canceled by Haku Languages LLC or an assigned coach.

Only Haku Languages LLC may issue replacement credits or approve session carryovers, Program Pauses, service credits, refunds, completion periods, or changes to the established program end date.

Individual coaches may not independently promise or authorize these accommodations.

11. Participant Rescheduling Policy

Participants may request to reschedule a session with at least 24 hours’ notice.

A participant-requested regular session may be rescheduled only to another available time within the same Monday-through-Sunday calendar week.

Rescheduling is subject to availability. If no suitable time remains available during that calendar week, the regular session will be forfeited and will not carry over.

Requests made with less than 24 hours’ notice are considered late changes. The session will be treated as completed and will not be eligible for rescheduling.

Participants are expected to maintain a consistent weekly schedule. While occasional rescheduling is supported, repeated rescheduling may affect program flow and scheduling availability.

During the six-month program, participants may request up to:

  • Standard Track: four (4) participant-requested rescheduled sessions
  • Intensive Track: six (6) participant-requested rescheduled sessions

All rescheduling remains subject to availability. Additional requests may be declined or approved at the discretion of Haku Languages LLC.

Approval of a rescheduling request does not guarantee approval of future requests and does not extend the six-month program duration.

A session changed or canceled by Haku Languages LLC or an assigned Haku Spanish coach is not considered a participant-requested rescheduling and will not count toward the participant’s rescheduling limit.

When a participant reschedules an appointment booked with a Haku Replacement Session Credit, the replacement session must still be completed within the applicable credit period and remains subject to availability.

A replacement credit remains available when its scheduled replacement session is changed or canceled by Haku Languages LLC or an assigned coach.

12. Participant Cancellation and No-Show Policy

Sessions canceled by the participant with less than 24 hours’ notice, as well as missed sessions or no-shows, are considered late changes and will be treated as completed.

A regular session canceled by the participant with at least 24 hours’ notice may be rescheduled only within the same calendar week, subject to availability. If the session is not rescheduled and completed within that week, it will be forfeited.

Failure to attend a scheduled session without prior notice will result in the session being forfeited.

Participant-canceled, missed, forfeited, or unused regular sessions do not carry over and do not extend the program duration.

If the participant cancels a session booked with a Haku Replacement Session Credit with at least 24 hours’ notice, the credit may remain available for rescheduling within its applicable use period, subject to availability.

If the participant cancels a replacement session with less than 24 hours’ notice or fails to attend it, the Haku Replacement Session Credit will be considered used and forfeited.

Repeated cancellations, late changes, or no-shows may affect scheduling availability and may result in additional limitations.

Sessions canceled by Haku Languages LLC or an assigned Haku Spanish coach will not be treated as completed or forfeited. The participant will receive or retain a Haku Replacement Session Credit in accordance with Section 10.

13. Emergency Flexibility

Haku Spanish understands that unexpected circumstances may arise.

In cases of genuine emergencies affecting the participant, limited flexibility may be provided at the discretion of Haku Languages LLC.

Any exception to the same-week scheduling requirement, cancellation policy, replacement-credit limit, or established program end date must be expressly approved in writing by Haku Languages LLC.

Emergency flexibility is considered individually and does not create an automatic right to:

  • Carry over a regular session
  • Receive a replacement credit
  • Exceed the applicable weekly session allowance
  • Extend the program
  • Receive the same accommodation in a future situation

A participant-requested extension of the established program end date ordinarily requires an approved Program Pause under Section 14.

Except for an approved Program Pause, an authorized Haku Replacement Session Credit completion period, or another written exception granted by Haku Languages LLC, all sessions must be completed within the six-month program duration.

14. Program Pause Policy

Participants may request one temporary Program Pause totaling up to fourteen (14) calendar days due to exceptional circumstances.

A Program Pause is not automatic and must be requested and approved in writing by Haku Languages LLC.

The approved pause will ordinarily consist of one consecutive period. At the discretion of Haku Languages LLC, the pause may be divided into no more than two separate periods.

The combined length of all approved pause periods may not exceed fourteen (14) calendar days during the six-month program.

If approved, the program duration and program access may be extended by the number of pause days actually approved.

Regular sessions do not accrue or accumulate during an approved Program Pause. After the pause, the participant resumes the regular weekly session allowance associated with the selected program track for the remainder of the adjusted program period.

An approved Program Pause is separate from ordinary cancellations and rescheduling. It is the only participant-requested circumstance that ordinarily extends the established program end date.

Sessions canceled, missed, or forfeited before approval of a Program Pause remain subject to the scheduling, cancellation, and forfeiture policies.

An active Haku Replacement Session Credit will remain associated with the participant during an approved Program Pause. Its applicable use period will be based on the participant’s adjusted program end date.

A scheduling adjustment or limited completion period resulting from a session canceled by Haku Languages LLC or an assigned coach is not considered a participant-requested Program Pause and does not reduce the participant’s eligibility for an approved Program Pause.

15. Session Distribution

Sessions are expected to be completed consistently throughout the program.

Regular weekly sessions are allocated for use during the applicable calendar week and are not maintained as a bank of sessions for future use.

Participants may not accumulate unused regular sessions or attempt to schedule them during a later week or within a short period near the end of the program.

An unused regular session does not become a Haku Replacement Session Credit.

Haku Replacement Session Credits are the limited exception to the no-carryover rule and are issued only for sessions canceled by Haku Languages LLC or an assigned Haku Spanish coach.

A replacement session scheduled during a later week will not be considered improper session accumulation and will not reduce the participant’s regular weekly session allowance for that week.

Unless otherwise approved in writing, only one Haku Replacement Session Credit may ordinarily be used during a calendar week in addition to the participant’s regular weekly session allowance.

Replacement sessions do not create additional regular weekly session entitlements and may not be exchanged for cash, transferred to another person, or converted into a refund except as expressly provided under Section 10.

Haku Spanish reserves the right to adjust bookings that exceed the participant’s authorized regular and replacement session allowances in order to maintain program structure, coaching quality, and calendar availability.

16. Intellectual Property

All program materials are the intellectual property of Haku Languages LLC and may not be copied, reproduced, shared, distributed, publicly displayed, published, or sold without prior written permission.

Program materials are provided only for the enrolled participant’s personal use.

Participants may not share login credentials or provide another person with unauthorized access to program materials, recordings, platforms, or resources.

17. Session Recordings

Coaching sessions may be recorded for training, educational, quality-assurance, and participant-review purposes. Recordings may be made available to participants.

Session recordings will not be used for public promotional or marketing purposes without the participant’s separate permission.

Participants may not record, reproduce, publish, distribute, or share coaching sessions or session recordings without prior written permission from Haku Languages LLC.

18. Confidentiality

Haku Spanish respects the privacy of all participants.

Personal information shared during coaching sessions will remain confidential unless:

  • The participant authorizes its disclosure
  • Disclosure is reasonably necessary to administer the program
  • Disclosure is required by law

When more than one coach or authorized team member supports the participant, relevant information may be shared internally as reasonably necessary to deliver, administer, or maintain continuity of the program.

19. Professional Conduct and Termination

Participants are expected to conduct themselves respectfully and appropriately toward coaches, team members, and other individuals associated with Haku Spanish.

Haku Languages LLC reserves the right to suspend or terminate participation if a participant engages in conduct that is disruptive, threatening, abusive, harassing, discriminatory, unlawful, or otherwise inappropriate.

Any refund or release of future payment obligations following a suspension or termination will be governed by Sections 5 and 6.

20. Fluency Integration Guarantee and Extension Terms

Haku Languages LLC offers a Fluency Integration Guarantee.

If the participant fully participates in the program and does not meet the defined fluency benchmarks, the participant may be eligible for a continued coaching phase at no additional cost.

Eligibility requires:

  • Attendance of at least 90% of scheduled sessions, excluding sessions canceled by Haku Languages LLC or an assigned coach
  • Compliance with all scheduling and cancellation policies
  • Active participation in sessions
  • Completion of assigned work
  • Consistent engagement with the system

Fluency benchmarks are defined by the ability to:

  • Participate in real-time conversation
  • Respond without reliance on translation
  • Navigate common real-life situations
  • Ask and answer follow-up questions
  • Maintain communication without freezing

Assessment is conducted through a live, unscripted conversation.

Haku Languages LLC will determine eligibility based on the participation requirements and the final assessment.

If eligible, the continued coaching phase includes:

  • Up to eight (8) additional weeks
  • Up to one (1) session per week
  • Focused coaching on remaining fluency gaps identified in the final assessment

All extension sessions must be used within the eight-week period and do not roll over.

This guarantee is limited in scope and does not constitute an open-ended or indefinite coaching commitment.

21. Independent Contractor Relationship

Participation in the program does not create an employment, partnership, joint venture, fiduciary, or agency relationship between the participant and Haku Languages LLC.

Coaches or other service providers engaged by Haku Languages LLC do not have authority to modify these Terms of Service or make contractual commitments on behalf of Haku Languages LLC unless expressly authorized in writing.

22. Force Majeure

Haku Languages LLC shall not be held responsible for delays or interruptions caused by events beyond its reasonable control, including severe weather, natural disasters, widespread technology failures, public-health emergencies, government actions, or other circumstances that could not reasonably have been prevented.

When such an event affects scheduled coaching sessions or program access, Haku Languages LLC may provide reasonable scheduling adjustments, access extensions, replacement sessions, or another appropriate solution based on the circumstances.
